Terms of Service (Public Offer)

1. General provisions and definitions

1.1. This document is an offer to conclude a contract within the meaning of Article 641 of the Civil Code of Ukraine and Article 11 of the Law of Ukraine “On Electronic Commerce”, made by Sole proprietor (FOP) Vitalii Pelin, taxpayer ID (RNOKPP) 3427107290 (the “Provider”, “we”) to every person using the X2TOOL online service at https://x2tool.com (the “Service”).

1.2. The contract concluded on these terms is a contract for the provision of services (Articles 901–907 of the Civil Code of Ukraine) and a contract of adhesion (Article 634 of the Civil Code of Ukraine): the terms are set by the Provider equally for everyone and are accepted by the User as a whole.

1.3. Definitions:

• User (you) — an individual aged 16 or over, or a company or entrepreneur, using the Service.
• Tool — an individual function of the Service (conversion, compression, editing, recognition, AI processing, etc.).
• Browser tool — a tool marked “Runs in your browser”: processing happens on your device and the file is not sent to our servers.
• Server tool — a tool that processes a file or text on the Provider’s servers.
• Credit — a conventional unit for recording the volume of data (file) processing services rendered by the Provider. Credits are not money, e-money or a substitute for them, are not goods or a digital asset, and cannot be exchanged for money.
• Account — the User’s personal account; Plan — free access, a Pro or Business subscription, or a credit pack.

1.4. The following documents published on the Service form an integral part of the contract: the Privacy Policy, Cookie Policy, Refund Policy, Acceptable Use Policy and AI Terms of Use.

2. How the contract is concluded

2.1. The contract is concluded by accepting this offer. Any of the following counts as acceptance: uploading a file or entering text into a tool, running a tool, creating an account, or paying for a plan (Article 642(2) of the Civil Code of Ukraine; Article 11(6) of the Law of Ukraine “On Electronic Commerce”).

2.2. When you sign in with a code sent to your email, that code is an electronic signature by one-time identifier within the meaning of Articles 3 and 12 of the Law of Ukraine “On Electronic Commerce”. When you sign in with Google, your identity is confirmed by Google.

2.3. A contract concluded electronically is equivalent to a contract in writing. The current version of these Terms is always available on this page and can be saved or printed.

2.4. By accepting, you confirm that you have read these Terms and the documents listed in clause 1.4, that you are at least 16, and that for payments you are an adult with full legal capacity or act with the consent of your parents (legal guardians). If you act on behalf of an organisation, you confirm you are authorised to do so.

3. Subject of the contract

3.1. Subject of the contract: the Provider renders services of access to the functionality of the x2tool.com online service and services of processing the User’s data (files) on the User’s instructions (Articles 901–907 of the Civil Code of Ukraine). The User uses the services under this contract and pays for them if a paid plan is chosen. The Provider does not sell goods, copies of software or software licences.

3.2. The services include, in particular: conversion, compression and editing of PDF, image, video, audio and 3D files; text recognition; AI tools (translation, summarisation, recognition, background removal, audio transcription, text generation); access via API keys and the MCP interface.

3.3. The list of tools, their features and limits (file size, number of operations) are shown on the tool pages and the Pricing page. We may add, change or remove tools subject to section 14.

3.4. A service is deemed provided when the processing result becomes available to the User for download or viewing.

4. Free use and limits

4.1. Without an account, the User receives 5 free AI credits per day and is subject to limits on the number and size of operations.

4.2. After free registration (sign-in with an email code or Google) — 15 AI credits per day plus 30 credits per month.

4.3. Current limits and how they reset or accumulate are shown on the Pricing page. To apply limits we use browser and account identifiers (see the Privacy Policy).

5. Paid services: subscriptions and credit packs

5.1. Pro and Business subscriptions are a service of access to the online service for 1 or 12 months with the higher limits and service volume (credits) shown on the Pricing page. A credit pack is a one-time prepayment for a defined volume of data processing services valid for 12 months.

5.2. Prices are shown on the Pricing page before payment. Prices may depend on the User’s country (price zones); the final amount and currency are shown on the checkout page. The price of a period or pack already paid does not change.

5.3. A subscription renews automatically for the same period and is charged to the same payment method until the User cancels it in their account. We will email you a reminder before an annual subscription renews.

5.4. Cancelling stops future charges; access and credits for the current period remain available until it ends.

5.5. We notify you of a subscription price change at least 14 days before the next charge. The new price applies only from the next period, and you can cancel before the charge.

6. Credits

6.1. Credits are conventional units for recording the volume of services rendered; they are not money or a substitute for it, cannot be exchanged for money, transferred to others or inherited. Deducting credits reflects the volume of data processing services actually rendered.

6.2. The credit cost of an operation is shown before you run it. Credits are deducted after the operation succeeds; if it fails for technical reasons, the credits are returned automatically.

6.3. Validity periods of credits (daily, monthly, subscription and pack credits) are shown on the Pricing page. Unused paid volume constitutes services not rendered; refunds for services not rendered are made under the Refund Policy.

7. Payment

7.1. Payments are processed by the WayForPay payment service (bank card, Apple Pay or Google Pay). Card details are entered on WayForPay’s secure page; the Provider does not receive or store them.

7.1-1. The fiscal receipt states the service name in Ukrainian: “Послуга доступу до онлайн-сервісу x2tool.com, тариф Pro (Business), 1 (12) міс.” or “Послуги з оброблення даних онлайн-сервісом x2tool.com, обсяг N од., строк 12 міс.” (DKPP code 63.11.1).

7.2. Payment is deemed made once WayForPay confirms it. We email you a payment confirmation and receipt.

7.3. Issuing-bank fees and currency conversion (if your card currency differs) are applied by your bank under its own terms.

8. Start of the service and right of withdrawal

8.1. Paid services are digital and are provided immediately after payment. By completing checkout you request that performance begins immediately, i.e. before the 14-day withdrawal period for distance contracts expires.

8.2. You have the right to withdraw from the contract within 14 days (Article 13 of the Law of Ukraine “On Consumer Protection”). Under Article 13(5)(1), where the service has already been provided electronically with your consent, the law restricts this right. We voluntarily give broader guarantees: the procedure and amounts of refunds are set out in the Refund Policy.

9. Files and results

9.1. Browser tools process files on your device — files are not sent to the Provider’s servers.

9.2. Files for server tools are transferred over an encrypted connection (HTTPS), scanned by antivirus and processed in an isolated environment with no network access.

9.3. Source files and results are deleted automatically 2 hours after upload, or immediately when you click “Delete now”. A result is available only to the browser or account that created it.

9.4. The Service is not file storage. Download your result within that time and keep copies of your originals.

9.5. AI tools run on the Provider’s own models on its own servers. Files and texts are not sent to third-party AI providers and are not used to train models.

10. Account, API and MCP

10.1. The User is responsible for keeping access to their email, account and API keys secure and for actions taken with them. Tell us immediately about any unauthorised access.

10.2. API keys and the MCP interface are provided for integrations within your plan’s limits. A key must not be shared outside your organisation or published. We may revoke a key that is compromised or used in breach of the contract, and will notify you.

10.3. You can delete your account in settings or by email request. Unused credits are then cancelled; refunds follow the Refund Policy.

11. User obligations

11.1. The User warrants that they are entitled to process the files and texts they upload and that doing so does not violate the law or the rights of others (copyright, privacy, personal data).

11.2. If you upload documents containing other people’s personal data, you are responsible for having a legal basis; for such data the Provider acts as a processor solely to provide the service.

11.3. The User complies with the Acceptable Use Policy and the AI Terms of Use.

12. Provider’s rights and obligations

12.1. The Provider undertakes to: provide the services as described for the tools and plan; process files only to provide the service; delete them within the periods in section 9; handle requests within the periods in section 18.

12.2. The Provider may: temporarily restrict an operation or access where there are reasonable grounds to believe the Acceptable Use Policy is being breached or an attack or fraud is taking place; carry out maintenance; refuse to process a file that fails the antivirus check.

12.3. We will tell you the reason for restricting or blocking your account unless the law prohibits it or it would harm an investigation.

13. Intellectual property

13.1. All rights to your files, texts and processing results belong to you or the respective right holders. The Provider acquires no rights in them.

13.2. To provide the service, you grant the Provider a free, non-exclusive, time-limited licence to perform technical operations on your files (storing, loading into memory, converting, delivering the result to you) — only to the extent and for the time needed for processing.

13.3. Rights in non-original objects generated by AI tools at your request are governed by the AI Terms of Use (taking into account Article 33 of the Law of Ukraine “On Copyright and Related Rights”).

13.4. The software, design, website texts and the X2TOOL name belong to the Provider. They may not be copied, decompiled or used to build a competing service without our written consent, except as permitted by law.

14. Availability and changes to the Service

14.1. We aim to keep the Service running continuously, but interruptions may occur due to maintenance, infrastructure failures or circumstances beyond our control.

14.2. If we remove or materially degrade a paid feature during a paid period, you may cancel the subscription and receive a refund for the unused period.

15. Liability

15.1. The Provider is liable for non-performance or improper performance under Article 906 of the Civil Code of Ukraine. For free services the Provider’s liability is limited to the amount set by Article 906(2) of the Civil Code of Ukraine.

15.2. For paid services the Provider’s total liability to the User is limited to the amount the User paid in the last 12 months.

15.3. The Provider is not liable for: the content of the User’s files and texts; consequences of using results, including AI results, without checking them; loss of files the User did not download within the period in section 9; failures of the User’s network, hardware or software.

15.4. The limitations in this section do not apply to harm to life or health or to intentional breaches, and do not restrict consumer rights that by law (in particular Article 18 of the Law of Ukraine “On Consumer Protection”) cannot be restricted by contract.

15.5. Neither party is liable for non-performance caused by force majeure.

16. Changes to these Terms

16.1. We may change these Terms. The new version is published on this page with its date. Registered users receive an email about material changes at least 14 days before they take effect.

16.2. Changes do not affect a period or pack already paid. If you disagree, you may stop using the Service and cancel your subscription; refunds follow the Refund Policy.

17. Term and termination

17.1. The contract is concluded for an indefinite term while the User uses the Service.

17.2. The User may withdraw from the contract at any time by stopping use, cancelling the subscription or deleting the account (Article 907 of the Civil Code of Ukraine).

17.3. The Provider may terminate the contract if the User materially breaches the Acceptable Use Policy, by notifying the User. In that case the unused balance of prepayment is refunded, less documented losses caused by the breach, unless the law provides otherwise.

18. Governing law and disputes

18.1. The contract is governed by the law of Ukraine. If you are a consumer habitually resident in another country, this choice does not deprive you of the protection afforded by the mandatory rules of the law of your country of residence.

18.2. Please contact us first at [email protected] — we reply to complaints within 14 days. If no agreement is reached, the dispute is resolved by the competent court. A consumer may apply to the courts and consumer protection authorities under the law of their country; in Ukraine, also to the State Service on Food Safety and Consumer Protection.

18.3. The place of conclusion of the contract is the Provider’s place of residence (Article 11(9) of the Law of Ukraine “On Electronic Commerce”).

19. Language

19.1. The contract is concluded in Ukrainian. Translations into other languages are provided for convenience by agreement of the parties (Article 11(14) of the Law of Ukraine “On Electronic Commerce”). In case of discrepancy, the Ukrainian text prevails.
